any and all information proprietary to one of the parties herto,whether or not reduced to writing or other tangible medium of expression, and whether or not patented, patentable, capable of trade secret protection or protected as and unpublished or published work under the copyright. Confidential Information includes, without limitation, the terms of this Agreement, information relating to intellectual property and to business plans, financial matters, products, services, manufacturing processes and methods, costs, sources of supply, strategic marketing plans,profits,pricing methods,personnel and business relationships.
Confidential Information will not include any information that:
1.was alreday known to the receving party prior to its relationship with the disclosing party,as established by the receiving party's written records;
2.becomes generally available to the public other than as a result of the receiving party's breach of this Agreement;
3.is furnished to the receiving party by a third party who is lawfully in possession of , and who lawfully conveys,such information;
4.is subsequently developed by the receiving party independently of the information received from the disclosing party, as established by the receiving party's wriiten records; or 5 is required to be disclosed to comply with applicable laws of regulations, or with a court or administrative order,provided that the disclosing party receives reasonable prior written notice of such disclosure and the receiving party takes all reasonable actions to obtain confidential treatment of such information and,if possible, to minimize the extent of such disclosure.
